We have acquired 98.84% of the equity shares of TARMAC India Pvt. Ltd. (TIPL). TIPL was a subsidiary of Tarmac UK - which is part of Anglo American plc Group. TIPL is in the Ready Mix Concrete business since 1997. It has two Ready Mix Concrete Plants located in Mumbai and Navi Mumbai respectively. The acquisition has been made at a cost of Rs. 12.40 crores. The acquisition is with immediate effect and is on “going concern” basis.

TIPL will now be a subsidiary of the Company.

ACC has again been nominated among the Superbrands of India by the Superbrands Council of India - this time as a Business Superbrand. An independent panel of judges appointed specially by the Superbrands council voted ACC as one among 68 Business Superbrands in the country. The award was presented by Mr. Praful Patel Hon’ble Minister for Civil Aviation in the presence of Mr. Anmol Dar Managing Director Superbrands Council of India and Mr. Bill Colegrave, International Director, Superbrands and founder of this certification program.

ACC is one of an exclusive group of 68 Business Superbrands that were selected out of a nation-wide list of over 834 business brands spanning 92 different categories.

The panel of judges comprised distinguished professionals from Business and Advertising. This year’s award underscores the fact that ACC is not just India’s leading name in cement but also a well-known and respected name in Indian business and industry circles.

Earlier ACC was chosen a Consumer Superbrand 2003-2005 when the program was first launched in India. At the time, it was the only cement company in the list of 101 brands in the country that received the distinction.

PRINCIPAL TERMS AND CONDITIONS OF REAPPOINTMENT OF
MR M L NARULA, MANAGING DIRECTOR


SALARY : Rs 2,00,000 per month in the grade Rs. 1,00,000 – Rs. 2,50,000

PERIOD : 1st November 2005 to 31st October 2006

PERQUISITES & ALLOWANCES

In addition to the salary the Managing Director shall also be entitled to perquisites and allowances like accommodation (furnished or otherwise) or house rent allowance in lieu thereof; house maintenance allowance together with reimbursement of expenses or allowances for utilities such as gas, electricity, water, furnishings and repairs, medical reimbursement, leave travel concession for the Managing Director and his family, club fees, personal accident insurance and such other perquisites and allowances in accordance with the Rules of the Company or as may be agreed to by the Board of Directors and the Managing Director, such perquisites and allowances will be subject to a maximum of 125% of the annual salary of the Managing Director.

Perquisites and allowances shall be evaluated as per Income Tax Rules, wherever applicable. In the absence of any such rules, perquisites and allowances shall be evaluated at actual cost.

Provision for use of Company’s car for official duties and telephone at residence (including payment for local calls and long distance official calls) shall not be included in the computation of perquisites for the purpose of calculating the said ceiling.

PERFORMANCE INCENTIVE

Such remuneration by way of Performance Incentive payment upto an amount equivalent to a maximum of twenty four months of his salary, in addition to the salary, perquisites and allowances payable, in a particular financial year as may be determined by the Board of Directors of the Company at the end of each financial year, subject to the overall ceilings stipulated in Sections 198 and 309 of the Companies Act, 1956. The specific amount payable to the Managing Director will be decided by the Board or the Compensation Committee of the Board.

PROVIDENT FUND, SUPERANNUATION / ANNUITY FUND

Company’s contribution to Provident Fund and Superannuation or Annuity Fund to the extent these either singly or together are not taxable under the Income-tax Act, gratuity payable as per the rules of the Company and encashment of leave at the end of his tenure shall not be included in the computation of limits for the remuneration or perquisites aforesaid.

MINIMUM REMUNERATION

Notwithstanding anything herein, where in any financial year during the currency of the tenure of the Managing Director, the Company has no profits or its profits are inadequate, the Company will pay remuneration by way of salary and perquisites as specified above, subject to the requisite approvals being obtained.

The terms and conditions of the Managing Director’s reappointment may be varied, altered, increased, enhanced or widened from time to time by the Board as it may in its discretion deem fit, within the maximum amounts payable in accordance with the provisions of the Companies Act, 1956 or any amendments made hereafter in this regard.

The Managing Director shall conduct the day-to-day management of the Company subject to the supervision and control of the Board of Directors.

The draft Agreement between the Company and the Managing Director would also inter alia contain further terms and conditions including those relating to earlier termination of his reappointment by either party giving three months’ notice in writing to the other party, non-participation in any selling agency of the Company.

RESULT OF POSTAL BALLOT

Pursuant to Section 192A(2) of the Companies Act 1956, read with the Companies (Passing of the Resolution by Postal Ballot) Rules 2001 a Notice dated July 22, 2005 was sent to shareholders seeking their approval through postal ballot to the Ordinary Resolution for sale of the Company’s Refractories Undertaking comprising of Katni Refractory Works situated in Katni, in Katni District in the State of Madhya Pradesh and Nagpur Refractory Works situated in Butibori, Nagpur in Nagpur District in the State of Maharashtra to ICICI Venture Funds Management Company Limited or its nominees for a total consideration of Rs.257 crores.

ACC extends a helping hand to victims of the Mumbai and Maharashtra floods and rains


The Associated Cement Companies Limited has made arrangements to distribute packets of essential items such as dry food provisions, utensils and bed sheets to victims of the rains and floods in Mumbai and other parts of Maharashtra. In Mumbai and Greater Mumbai regions, the Company will focus on assisting those affected in Dahisar, Thane and Kalamboli. Teams of employees from ACC will identify needy affected families in these localities and distribute these relief packets to them.

The Company has already arranged distribution of foodgrains in some parts of Chiplun, Khed and Raigarh region. This was done through ACC’s Regional Marketing Office in Pune and other members of its marketing network comprising sales officers as well as the Company’s Authorised dealers, many of whom have also been affected. The aid so far committed will help about 25,000 persons. The Company plans to identify other ways in which assistance can be rendered to victims of the rains and floods in Mumbai and Maharashtra.

Chaibasa Modernization and Expansion Project

Hon’ble Shri Arjun Munda, Chief Minister of Jharkhand today inaugurated the modernization and expansion project of ACC’s Chaibasa Cement Works. Shri Madhu Koda, Hon’ble Minister for Mines, Parliamentary Affairs and Cooperative was the Guest of Honour at the inauguration ceremony.

The project comprises replacement of the earlier plant which was based on the old wet process technology with a new state-of-the-art clinkering unit of 1.2 MTPA together with a captive power plant of 15MW. Chaibasa Cement Works is located in Singhbhum district of Jharkhand. It is predominantly a tribal belt containing the Kolhan and Chhota Nagpur regions. This is the only industrial enterprise in this part of Jharkhand.

The new Plant is today India’s most modern cement plant using state-of-the-art technology, fully automated and equipped with the latest instrumentation and control systems. All these features ensure production of cement meeting the highest standards of quality assurance.

It is interesting to note that Chaibasa is India’s first wholly indigenous cement plant designed and built by engineers of ACC in 1947 – the year of India’s Independence. It was the first Indian plant to produce Portland Slag Cement and has maintained the tradition of environment friendly practices.

The new project also boasts of Asia’s largest tube conveyor of 2.5 kms for transportation of limestone from the mines to the factory.

With the successful commissioning of this project ACC hopes to consolidate its presence in eastern India particularly in the states of Jharkhand and Bihar. It is complemented by a host of new customer focused initiatives aimed to satisfy the end-user, small customers and individual home-builders.
