Pursuant to a strategic partnership between the Gujarat Ambuja Group and Swiss cement major Holcim , a public announcement was made on January 21, 2005 by Holdcem Cements Private Ltd. and Holderind Investments Ltd., affiliates of Holcim Ltd., about their intention to hike the stake of Ambuja Cements India Ltd. (ACIL) in ACC from 13.8% to 50.01% by making a voluntary open offer to purchase 6.93 crore equity shares of ACC at Rs.370/- per share from the existing shareholders. The objective of Holcim to make the open offer is to exercise management control over the Company through the partnership vehicle – ACIL. After obtaining the consent of ACC Board, the acquirers have obtained the approval of the Government of India for increasing the shareholding. The open offer commenced on March 23, 2005 and closed on April 11, 2005.

After closure of the open offer the aggregate shareholding of Ambuja Cements India Ltd., in ACC is 6,19,61,901 shares of Rs.10/- each which represents 34.63% of the paid up share capital. Ambuja Cements India Ltd., has accordingly declared that it has become a promoter alongwith its ultimate holding/parent company Holcim Ltd., in terms of the SEBI Regulations with effect from April 26, 2005.
